Freshfields wins ‘Transatlantic Private Equity Team of the Year’ 2017

Freshfields Bruckhaus Deringer LLP (‘Freshfields’) has been awarded ‘Transatlantic Private Equity Team of the Year’ at the Transatlantic Legal Awards 2017. The Transatlantic Legal Awards celebrates leading firms and in-house teams with a strong presence in both the US and the UK. It recognises transatlantic deals, law firm strategy and individual achievement and is hosted by the publications Legal Week and The American Lawyer.

The Freshfields private equity team was honoured for its cross-border work advising Formula One (‘F1’) and CVC Capital Partners on the sale of F1 to Liberty Media. The consideration comprised cash and newly issued shares in the Liberty Media Group tracking stock (LMCK) and a debt instrument exchangeable into shares of LMCK. The transaction price represented an enterprise value for F1 of $8.0 billion and an equity value of $4.4 billion.

The team was led out of London by partner Charles Hayes and in New York by partner Valerie Ford Jacob. Under their leadership, the team demonstrated its unified and integrated approach across the British and American legal and business landscapes, which significantly enhanced their ability to help deliver this high-profile transaction.

In their assessment of the firm's work on the deal, the judges took particular note of its structure as a two-stage transaction that ensured Liberty Media could invest immediately upon signing without regulatory approval. Having described the deal as "truly transatlantic", the judges went on to say, “The lawyers performed brilliantly to guide a hugely complex transaction through to a seamless close”.

The award was presented to Charles and Valerie at a dinner in Whitehall in London on the 8 June 2017.
