Freshfields advises Cedar Holdings Group Ltd. on phased acquisition of Granite Capital S.A.

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Cedar Holdings Group Ltd (‘Cedar Holdings’) on its proposed acquisition of Integra Holdings Group's petrochemicals trading business. Binding sale documentation, which paves the way for the acquisition of 51 per cent of the shares in the target holding entity of the business, Granite Capital S.A., was executed on 17 April 2018.

Granite Capital S.A. is headquartered in Singapore but operates businesses out of Switzerland, Belgium and the U.S.  A multi-disciplinary Freshfields team assisted in the negotiation of the key deal terms, legal due diligence and preparation of the sale documentation which involved co-ordinating advice from Swiss and Singaporean local counsel. Freshfields teams also provided specialist advice in relation to the legal due diligence and sale documentation preparation.

The Freshfields team was led by partner Philip Li, supported by partner-elect Nigel Gleeson. Tax advice was provided by partner Peter Clements. Advice on antitrust matters was provided by counsel Ninette Dodoo, and counsel Laura Chapman advised on employment law matters.
