Freshfields advises a consortium consisting of PAI Partners SAS and Charles Jobson in respect of a public offer for all shares of Koninklijke Wessanen N.V.

Freshfields Bruckhaus Deringer LLP advises a consortium consisting of PAI Partners SAS and Charles Jobson in respect of a public offer for all shares of Koninklijke Wessanen N.V., a European leader in healthy, organic and sustainable food. On 10 April 2019, parties announced to have reached a conditional agreement on a recommended public offer to be made by the consortium for the entire issued and outstanding share capital of Wessanen for EUR 11.50 in cash per share (cum dividend). This represents a total consideration of approximately EUR 885 million. PAI will hold approximately 62% and Charles Jobson approximately 38% in the consortium following completion.
 
The transaction is led by partners Hanneke Rothbarth, Jan Willem van der Staay, Eelco van der Stok, Winfred Knibbeler, Brechje Nollen, Guy Benda and Cyril Valentin, assisted by counsels Elske Raedts and Guillemette Burgala and associates Max van Verschuer, Victor van Vegchel, Rosemarieke Uitdewilligen, Bob van Kasteren, Benjamin Boisante, and Thomas Metayer.
