Freshfields advises Icade on the acquisition of a portfolio of German and French healthcare properties operated by Orpea
Freshfields Bruckhaus Deringer is advising Icade on the acquisition of the real estate of eight German nursing homes comprising a total of approx. 900 beds and approx. 140 apartments and one nursing home in France. The transaction involves four properties under development (with expected completion dates in 2020) and is structured as a combined share and asset deal.
Icade is acting through its two vehicles – Icade Santé for France and Icade Healthcare Europe for Germany. The seller, Orpea, will remain the operator of all the facilities and also an investor in a number of properties alongside Icade, and both parties have agreed on a joint venture.
The acquisition is subject to clearance by the German competition authority and is expected to complete in Q3 and Q4 of 2020.
