Freshfields advises the underwriters on Darktrace plc IPO

Freshfields Bruckhaus Deringer (‘Freshfields’) has advised Jefferies International Limited as sponsor, and together with Joh. Berenberg, Gossler & Co. KG, London Branch, KKR Capital Markets Partners LLP, Needham & Company, LLC and Piper Sandler & Co. as underwriters in connection with the IPO and premium listing of Darktrace plc on the London Stock Exchange. 
 
The IPO comprised an issue of new shares by Darktrace and a sell-down by existing shareholders at an offer price of £2.50 per share, equating to a market capitalisation of £1.7 bn. Darktrace is a world leading provider of AI for the enterprise, with the first at scale deployment of AI in cyber security, and a pioneer of autonomous response technology.
 
The Freshfields team was led by partners Mark Austin and Doug Smith, supported by counsel Richard Ho and associates Jennifer Brokamp, Shreena Patel and Stephanie Belenkov. Dispute Resolution advice was provided by partner Christopher Robinson and associate Emily Knight, and UK tax advice was provided by partner Peter Clements and associate Chris Gotch.
